Meet Harshita

As a dual qualified solicitor, I work on complex and high-value transactions involving asset and share sales and purchases for a diverse range of clients, including leading the due diligence and disclosure process, negotiating the terms and assisting with closing on the transactions. I have supported clients across a wide range of sectors (both in the UK and Internationally) including, Insurance, IT, retail, hospitality, transport, Agri-tech, telecommunications and aviation.

In addition to the above, my experience includes regularly working with clients to assist them with loan agreements, investment agreements, distribution agreements reseller agreements and other commercial contracts.

I also assist clients in drawing up commercial terms and conditions and policies for their businesses. I regularly support clients across the aviation, professional consultancy, IT and education sector with drawing up such policies and procedures for them. In addition, I also advise my clients and support them with GDPR and data protection issues and cross border data transfer agreements.

Experience highlights 

  • Assisted in the disclosure process of a £200m sale of an IT company with global subsidiaries (in China, Brazil and the USA)
  • Assisted in a £100m sale of a freight forwarding company in the UK
  • Assisted in an acquisition of a Gibraltar entity that owns assets in the UK including liaising with counsel and other advisers based in Gibraltar
  • Assisted in a corporate reorganisation followed by a £20m sale of a well-known transport and logistics company
  • Prepared and negotiated master services agreement, international data protection addenda and UK SCCS for companies within the information technology software sector
  • Prepared terms and conditions, privacy policies, cookie policies and internal data protection addenda for private jet charter companies
  • Drafting investment agreements and negotiating terms for a well-known private investment company focused on making investments in decarbonisation, sustainable energy and social impact businesses
